Understanding your rights and responsibilities as a GetInterns user
Terms of Use
This page states the Terms of Use ("Terms") under which You (as defined below) may use www.GetInterns.com ("GetInterns.com"), an on-line service to post and search employment opportunities and User (as defined below) resumes. GetInterns.com features GetInterns Networking, an on-line community designed to facilitate valuable professional and personal networking among its Users based on common experiences and interests. GetInterns.com also allows Users to create individual profiles, which may include personal information (”Profiles”), and to make these Profiles, or aspects thereof, public.
These Terms include the GetInterns Privacy Statement and the GetInterns' Premium Fee Policy, each of which is incorporated into these Terms by reference. Please read these Terms carefully. If You do not accept the Terms stated here, do not use GetInterns.com and its services. By using GetInterns.com, You agree to be bound by these Terms, including the GetInterns Privacy Statement, and, if applicable, the GetInterns' Premium Fee Policy.
GetInterns, Inc. ("GetInterns") may revise these Terms at any time by posting an updated version to this Web page. You should visit this page periodically to review the most current Terms because they are binding on You. The terms "You" and "User" as used herein refer to all individuals and/or entities accessing GetInterns.com for any reason. The term “post” as used herein shall mean information that You submit, publish or display on any GetInterns Site (as defined below).
Eligibility
You must be 18 years of age or older, or the age of majority as that is defined in your jurisdiction, whichever is older, to visit or use GetInterns.com in any manner. By visiting GetInterns.com or accepting these Terms, You represent and warrant to GetInterns that You have reached the age of majority in your jurisdiction, and that You have the right, authority and capacity to agree to and abide by these Terms. You also represent and warrant to GetInterns that You will use GetInterns.com in a manner consistent with any and all applicable laws and regulations.
Use of GetInterns Content
GetInterns authorizes You to view and access a single copy of the content available on or from GetInterns.com solely for your personal use. The contents of GetInterns.com, and of all other Web sites under GetInterns' control, whether partial or otherwise (GetInterns.com and such other Web sites are sometimes collectively referred to as "GetInterns Sites") such as text, graphics, images, logos, button icons, software and other GetInterns content (collectively, "GetInterns Content"), are protected under both United States and foreign copyright, trademark and other laws. All GetInterns Content is the property of GetInterns or its content suppliers or clients. The compilation (meaning the collection, arrangement and assembly) of all content on the GetInterns Sites is the exclusive property of GetInterns and is protected by United States and foreign copyright, trademark, and other laws. Unauthorized use of the GetInterns Content may violate these laws, and is strictly prohibited. You must retain all copyright, trademark, service mark and other proprietary notices contained in the original GetInterns Content on any authorized copy You make of the GetInterns Content.
You agree not to sell or modify the GetInterns Content or reproduce, display, publicly perform, distribute, or otherwise use the GetInterns Content in any way for any public or commercial purpose, in connection with products or services that are not those of GetInterns.com, in any other manner that is likely to cause confusion among consumers, that disparages or discredits GetInterns or its licensors, that dilutes the strength of GetInterns' or its licensor’s property, or that otherwise infringes GetInterns' or its licensor’s intellectual property rights. You further agree to in no other way misuse GetInterns Content that appears on this Site. The use of the GetInterns Content on any other Web site or in a networked computer environment for any purpose is prohibited. Any code that GetInterns creates to generate or display any GetInterns Content or the pages making up any GetInterns Site is also protected by GetInterns' copyright and you may not copy or adapt such code.
Content that:
- is implicitly or explicitly offensive, such as User Content that engages in, endorses or promotes racism, bigotry, discrimination, hatred or physical harm of any kind against any group or individual;
- harasses, incites harassment or advocates harassment of any group or individual;
- involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming";
- promotes or endorses false or misleading information or illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
- promotes or endorses an illegal or unauthorized copy of another person's copyrighted work, such as providing or making available pirated computer programs or links to them, providing or making available information to circumvent manufacture-installed copy-protect devices, or providing or making available pirated music or other media or links to pirated music or other media files;
- contains restricted or password only access pages, or hidden pages or images;
- displays or links to pornographic, indecent or sexually explicit material of any kind;
- provides or links to material that exploits people under the age of 18 in a sexual, violent or other manner, or solicits personal information from anyone under 18; or
- provides instructional information about illegal activities or other activities prohibited by these Terms, including without limitation, making or buying illegal weapons, violating someone's privacy, providing or creating computer viruses or pirating any media; and
- solicits passwords or personal identifying information from other Users.
- It is also a violation of the Terms, to include in any User Content submitted to GetInterns Networking information that may be interpreted as direct solicitation, advertisement or recruitment for an available job position directed to individuals seeking employment on either a full time or part time basis.
Any Profile You submit must describe You, an individual person. Examples of inappropriate and prohibited Profiles include, but are not limited to, Profiles that purport to represent an animal, place, inanimate object, fictional character, or real individual that is not You. You may not include in your Profile any telephone numbers, street addresses, email addresses or other means of contacting You, other than your last name and URLs.
In order to protect our GetInterns Networking Users from commercial advertising or solicitation, GetInterns reserves the right to restrict the number of e-mails which a User may send to other Users to a number which GetInterns deems appropriate in its sole discretion.
Each candidate made available through the Skilled and Hourly section of GetInterns.com has taken skills interview(s) offered by GetInterns. The results of each skilled and hourly candidate's skills interview are not evaluated by GetInterns and should be evaluated by each employer based on such employer's specific criteria. The skills interview(s) are proprietary to GetInterns and may be changed from time to time in GetInterns' discretion. The skills interview(s) do not necessarily guarantee performance results or capture all criteria that may be relevant to an employer in making employment decisions. GetInterns does not independently verify the information provided by candidates or the identity of candidates.
If notified by a User of User Content or other materials which allegedly do not conform to these Terms, GetInterns may in its sole discretion investigate the allegation and determine whether to take any other actions whether to remove or request the removal of the User Content. GetInterns has no liability or responsibility to Users for performance or nonperformance of such activities.
We appreciate hearing from our Users and welcome your comments regarding our services and the GetInterns Sites. Please be advised, however, that our policy does not permit us to accept or consider creative ideas, suggestions, inventions or materials other than those which we have specifically requested. While we do value your feedback on our services, please be specific in your comments regarding our services and do not submit creative ideas, inventions, suggestions, or materials. If, despite our request, You send us creative suggestions, ideas, drawings, concepts, inventions, or other information (collectively the "Submission"), the Submission shall be the property of GetInterns. None of the Submission shall be subject to any obligation of confidentiality on our part and we shall not be liable for any use or disclosure of any Submission. GetInterns shall own exclusively all now known or later discovered rights to the Submission and shall be entitled to unrestricted use of the Submission for any purpose whatsoever, commercial or otherwise, without compensation to You or any other person.
Identification Of Agent To Receive Notification And Elements Of Notification Of Claimed Copyright or Trademark Infringement
If You believe that your copyrighted work or trademark has been uploaded, posted or copied to any GetInterns Site and is accessible on such GetInterns Site in a way that constitutes copyright or trademark infringement, please print and complete the GetInterns Proprietary Rights Complaint Process and Notification Form and send such completed form to our designated agent.
Policy Regarding Termination Of Users Who Repeatedly Infringe The Copyright Or Other Intellectual Property Rights Of Others
GetInterns, Inc., and all of its affiliated companies respect the intellectual property of others, and we ask our Users and content partners to do the same. The unauthorized posting, reproduction, copying, distribution, modification, public display or public performance of copyrighted works constitutes infringement of the copyright owners rights. As a condition to your use of GetInterns.com, You agree not to use GetInterns.com or any other GetInterns Site to infringe the intellectual property rights of others in any way. We will terminate the accounts of any GetInterns.com Users, and block access to GetInterns.com and/or the other GetInterns Sites of any Users who are repeat infringers of the copyrights, or other intellectual property rights, of others. We reserve the right to take these actions at any time, in our sole discretion, with or without notice, and without any liability to the User who is terminated or to the User whose access is blocked.
GetInterns' Liability
GetInterns acts as a venue for employers to post job opportunities and candidates to post resumes and Profiles and does not screen or censor the listings, including Profiles offered. GetInterns is not involved in the actual transaction between employers and candidates. As a result, GetInterns has no control over User Content, the quality, safety or legality of the jobs or resumes posted, the truth or accuracy of the listings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings and GetInterns makes no representations about any jobs, resumes or User Content on GetInterns.com. GetInterns may take any action with respect to User Content that it deems necessary or appropriate in its sole discretion if it believes that such User Content could create liability for GetInterns, damage GetInterns' brand or public image, or cause GetInterns to lose (in whole or in part) the services of its ISPs or other suppliers. While GetInterns reserves the right in its sole discretion to remove User Content, job postings, resumes or other material from GetInterns.com from time to time, GetInterns does not assume any obligation to do so and disclaims any liability for failing to take any such action.
GetInterns Networking provides a venue for individuals to network for professional purposes and GetInterns does not screen or censor the Profiles or User Content on GetInterns.com. GetInterns is not involved in the actual communications between GetInterns Networking Users. As a result, GetInterns has no control over the accuracy, reliability, completeness, or timeliness of the Profiles or User Content submitted on GetInterns.com and makes no representations about any Profile or User Content on GetInterns.com.
In addition, note that there are risks, including but not limited to the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false pretenses. You assume all risks associated with dealing with other Users with whom You come in contact through GetInterns.com and/or the other GetInterns Sites. By its very nature, other people's information may be offensive, harmful or inaccurate, and in some cases will be mislabeled or deceptively labeled. We expect that You will use caution and common sense when using GetInterns.com and/or the other GetInterns Sites.
Because User authentication on the Internet is difficult, GetInterns cannot and does not confirm that each User is who they claim to be. Because we do not and cannot be involved in User-to-User dealings or control the behavior of participants on any GetInterns Site, in the event that You have a dispute with one or more Users, You release GetInterns (and our agents and employees) from claims, demands and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
If You are a California resident, You waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."
The GetInterns Sites and the GetInterns Content may contain inaccuracies or typographical errors. GetInterns makes no representations about the accuracy, reliability, completeness, or timeliness of any GetInterns Site or the GetInterns Content. The use of all GetInterns Sites and the GetInterns Content is at your own risk. Changes are periodically made to GetInterns Sites and may be made at any time. You acknowledge and agree that You are solely responsible for the form, content and accuracy of any resume or material contained therein placed by You on the GetInterns Sites. Employers are solely responsible for their postings on GetInterns Sites. GetInterns is not to be considered to be an employer with respect to your use of any GetInterns Site and GetInterns shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on any GetInterns Site.
GetInterns cannot guarantee and does not promise any specific results from use of GetInterns.com or any GetInterns Site. No advice or information, whether oral or written, obtained by a User from GetInterns or through or from GetInterns.com or any other GetInterns Site shall create any warranty not expressly stated herein.
Disclaimer of Warranty
GetInterns DOES NOT WARRANT THAT ANY GetInterns SITE WILL OPERATE ERROR-FREE OR THAT ANY GetInterns SITE AND ITS SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF YOUR USE OF ANY GetInterns SITE OR THE GetInterns CONTENT RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, GetInterns IS NOT RESPONSIBLE FOR THOSE COSTS. THE GetInterns SITES AND GetInterns CONTENT ARE PROVIDED ON AN "AS IS" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. GetInterns, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE AND NON-INFRINGEMENT. GetInterns MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE GetInterns CONTENT, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS.
Disclaimer of Consequential Damages
IN NO EVENT SHALL GetInterns, ITS SUPPLIERS, OR ANY THIRD PARTIES MENTIONED ON ANY GetInterns SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE ANY GetInterns SITE AND THE GetInterns CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT GetInterns IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Limitation of Liability.
GetInterns' MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH ANY GetInterns SITE OR YOUR USE OF THE GetInterns CONTENT, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE), WILL NOT EXCEED $100.
Links to Other Sites.
GetInterns.com and certain other GetInterns Sites contain links to third party Web sites. These links are provided solely as a convenience to You and not as an endorsement by GetInterns of the contents on such third-party Web sites. GetInterns is not responsible for the content of linked third-party sites and does not make any representations regarding the content or accuracy of materials on such third party Web sites. If You decide to access linked third-party Web sites, You do so at your own risk.
No Resale or Unauthorized Commercial Use
You agree not to resell or assign your rights or obligations under these Terms. You also agree not to make any unauthorized commercial use of any GetInterns Site.
Indemnity
You agree to defend, indemnify, and hold harmless GetInterns, its affiliates, and their respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) any User Content or other material You provide to any GetInterns Site, (ii) your use of any GetInterns Content, or (iii) your breach of the terms of these Terms. GetInterns shall provide notice to You promptly of any such claim, suit, or proceeding.
General.
GetInterns makes no claims that the GetInterns Content may be lawfully viewed or accessed outside of the United States. Access to the GetInterns Content may not be legal by certain persons or in certain countries. If You access a GetInterns.com or other U.S.-based GetInterns Sites from outside of the United States, You do so at your own risk and are responsible for compliance with the laws of your jurisdiction. These Terms are governed by the internal substantive laws of the Commonwealth of Massachusetts, without respect to its conflict of laws principles. Jurisdiction for any claims arising under this agreement shall lie exclusively with the state or federal courts within Boston, Massachusetts. If any provision of these Terms are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. In addition, GetInterns' failure to enforce any term of these Terms shall not be deemed as a waiver of such term or otherwise affect GetInterns' ability to enforce such term at any point in the future. Except as expressly provided in an additional agreement, additional Terms for certain areas of GetInterns.com, a particular "Legal Notice," or software license or material on particular GetInterns.com pages, these Terms constitute the entire agreement between You and GetInterns with respect to the use of GetInterns.com. No changes to these Terms shall be made except by a revised posting on this page.
Additional Terms
Certain areas of GetInterns.com and the other GetInterns Sites are subject to additional Terms. By using such areas, or any part thereof, You agree to be bound by the additional Terms applicable to such areas.
By using any areas of this website or the other GetInterns Sites that contain Google Maps, you agree to be bound by the Google Maps Terms of Use available at http://maps.google.com/help/terms_maps.html and the legal notices available at http://www.maps.google.com/help/legalnotices_maps.html as they may be updated from time to time.
Term and Termination
These Terms will remain in full force and effect while You are a User of GetInterns.com at any level. GetInterns reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to removal of your User Content from GetInterns.com and the other GetInterns Sites and immediate termination of your registration with or ability to access GetInterns.com and the other GetInterns Sites and/or any other services provided to You by GetInterns, upon any breach by You of these Terms or if GetInterns is unable to verify or authenticate any information You submit to GetInterns.com or pursuant to other GetInterns Site registration. Even after You are no longer a User of GetInterns.com, certain provisions of these Terms will remain in effect, including Sections 2, 6, 8(b), 10 through 21, inclusive.
These Terms constitute a binding agreement between You and GetInterns, and is accepted by You upon your use of the GetInterns Site.
Terms and Conditions
1. Introduction. Please read this web page carefully. It contains the Terms and Conditions governing your access to and use of the GetInterns Web Site. If you do not accept these Terms and Conditions or you do not meet or comply with their provisions, you may not use the Site. If you are an employer using the Site, you may have entered into a Service Agreement with GetInterns, in which case these Terms and Conditions, including the Exhibits attached hereto, are part of and incorporated into that Service Agreement. These Terms and Conditions are effective as of February 1, 2007.
2. Binding Agreement. These Terms and Conditions, together with all Exhibits to these Terms and Conditions (as they may be amended from time to time by GetInterns) form a binding agreement (the "Agreement") between you and GetInterns, LLC. Your access to or use of the Site indicates your acceptance of these Terms and Conditions. You are agreeing to use the Site at your own risk.
3. Certain Definitions. The following definitions apply to this Agreement:
GetInterns Web Site" or the "Site: includes www.GetInterns.com in its entirety and its related sites owned or operated by GetInterns, and includes their Content, Text, Graphics, Design, Programming and Services as applicable in the context.
Content: includes all Text, Graphics, Design and Programming used on the Site.
Text: includes all text on every page of the Site, whether editorial, navigational, or instructional.
Graphics: includes all logos, buttons, and other graphical elements on the Site, with the exception of paid advertising banners.
Design: includes the color combinations and the page layout of the Site.
Programming: includes both client-side code (HTML, JavaScript, etc.) and server-side code (Active Server Pages, VBScript, databases, etc.) used on the Site.
Document: refers to any posting to the Site, whether job or resume.
Services: means any services provided on the Site by GetInterns or its agents.
User: refers to any individual or entity who uses any aspect of the Site.
Job Seeker: means a User who is accessing the Site to search for a job or in any other capacity except as an Employer.
Employer: means a person or entity that is accessing the Site to post a job or for any reason related to the purpose of seeking candidates for employment.
"You" and "you":means the person who (or the entity on behalf of whom you are acting) that is agreeing to these Terms and Conditions
4. Acceptable Use of the Site.
4.1 General Use Rules. The Site is intended for individuals seeking employment and for employers or recruiters seeking candidates for employment. You may use this Site only for lawful purposes within the stated context of GetInterns's intended and acceptable use of the Site. GetInterns is the sole interpreter of the Site’s intended and acceptable use
4.2 License to Use by Users who are Job Seekers. GetInterns hereby grants you a limited, terminable, non-exclusive right to access and use the Site only for your personal use seeking employment opportunities for yourself. This authorizes you to view and download a single copy of the material on the Site solely for your personal, noncommercial use. You agree that you are solely responsible for the content of any Document you post to the Site and any consequences arising from such posting. Your use of the Site is a privilege. GetInterns reserves the right to suspend or terminate that privilege for any reason at any time, in its sole discretion.
4.3 License to Use by Users who are employers. GetInterns hereby grants you a limited, terminable, non-exclusive right to access and use the Site only for your internal business use seeking candidates for employment. This authorizes you to view and download a single copy of the material on the Site solely for your personal use directly related to using the Site for the purpose of searching and recruiting job prospects. Users of the Resume Database please see our Resume Database Subscription Agreement Terms and Conditions, which are incorporated herein by reference, for further clarification. You may not sell, transfer or assign any products or services or your rights to any products or services (including access to the Resume Database) provided by GetInterns to any third party without the express written authorization of GetInterns. You agree that you are solely responsible for the content of any Document you post to the Site and any consequences arising from such posting. GetInterns reserves the right to suspend or terminate your access and use at any time if GetInterns determines that you are in breach of any of these Terms and Conditions.
4.4 Other Specific Rules. You represent, warrant and agree that you will not use (or plan, encourage or help others to use) the Site for any purpose or in any manner that is prohibited by these Terms and Conditions or by applicable law. It is your responsibility to ensure that your use of the Site complies with these Terms and Conditions and all applicable laws.
4.5 House Rules for Posting, Conduct and Security. You agree to comply with the "House Rules" for posting, conduct and security on the Site, which are attached hereto as Exhibit A.
5. Intellectual Property Rights. The Site and all right, title and interest in and to the Site is the sole property of GetInterns or its licensors, and is protected by U.S. copyright and international treaties. Except for the limited licenses expressly granted to you in these Terms and Conditions, GetInterns reserves for itself and its licensors all other right, title and interest. Without limitation on the foregoing, you may not reproduce, modify, display, sell, or distribute the Content, or use it in any other way for public or commercial purpose. This includes copying or adapting the HTML code used to generate Web pages on the Site. "GetInterns," the GetInterns design logo and certain other names or logos are service marks or trademarks of GetInterns, and all related product and service names, design marks and slogans are the service marks or trademarks of GetInterns. In addition, the "look" and "feel" of the Site (including color combinations, button shapes, layout, design and all other graphical elements) are also protected by GetInterns's trademarks, service marks and copyrights. All other product and service marks contained on the Site are the trademarks of their respective owners.
6. Disclaimers and Limitations on GetInterns's Liability.
6.1 Allocation of Responsibility GetInterns assumes no responsibility for Documents posted by Users and no responsibility for the activities, omissions or other conduct of Users. GetInterns acts as a portal for the online distribution and publication of User submitted information and has no obligation to screen communications or information in advance and is not responsible for screening or monitoring Documents posted by Users. If notified by a User of a Document which allegedly does not conform to this agreement, GetInterns may investigate the allegation and determine in good faith and in its sole discretion whether to remove or request the removal of such Document. GetInterns has no liability or responsibility to Users for performance or nonperformance of such activities. GetInterns may take any action with respect to User submitted information that it deems necessary or appropriate, in its sole discretion.
6.2 No endorsements by GetInterns. Nothing on the Site shall be considered an endorsement, representation or warranty with respect to any User or third party, whether in regards to its web site, products, services, hiring, experience, employment or recruiting practices, or otherwise.
6.3 No Guaranty of Results. GetInterns is not an employment agency or a recruiting firm, and makes no representations or guarantees regarding the effectiveness or timeliness of the Site in meeting the employment objectives of Users. GetInterns does not guarantee that Documents posted by Users will result in candidates being hired or positions being filled, and is not responsible for any employment decisions, for whatever reason made, made by any User.
6.4 WARRANTY DISCLAIMERS
(a) THE SITE IS PROVIDED ON AN 'AS IS' BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GetInterns, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE. GetInterns MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SITE.
(b) Without limitation on the foregoing:
(i) GetInterns DOES NOT WARRANT THAT THE SITE WILL OPERATE ERROR-FREE OR THAT THE SITE AND ITS SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF YOUR USE OF THE SITE RESULTS DIRECTLY OR INDIRECTLY IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, GetInterns IS NOT RESPONSIBLE FOR THOSE COSTS.
(ii) GetInterns makes no representations or guarantees regarding the truthfulness, accuracy, completeness, timeliness or reliability of any Documents posted by Users, or of any other form of communication engaged in by Users. Documents may contain inaccuracies or typographical errors. You agree that any reliance on Documents posted by Users, or on any other form of communication with Users, will be at your own risk.
(iii) GetInterns makes no representations or guarantees regarding the Content of the Site, including, but not limited to, broken links, inaccuracies or typographical errors.
6.5 DAMAGE LIMITATIONS, ALLOCATIONS OF LIABILITY AND EQUITABLE RELIEF.
(a) YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE, THE INTERNET GENERALLY, AND THE DOCUMENTS YOU POST OR ACCESS AND FOR YOUR CONDUCT ON AND OFF THE SITE.
(b) IN NO EVENT SHALL GetInterns (OR ANY OF ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AFFILIATES, AGENTS OR ADVERTISERS), BE LIABLE FOR ANY NON-DIRECT DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA, LOST EMPLOYMENT OPPORTUNITY, OR BUSINESS INTERRUPTION) RESULTING FROM OR ARISING UNDER OR IN CONNECTION WITH THE USE OR ACCESS TO, OR THE INABILITY TO USE OR ACCESS, THE SITE AND/OR ANY DOCUMENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT GetInterns IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(c) BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OR LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE LIMITATIONS SET FORTH IN THE PRECEDING PARAGRAPH MAY NOT APPLY TO YOU. IF ANY ARE HELD INAPPLICABLE OR UNENFORCEABLE FOR ANY REASON, THEN GetInterns'S MAXIMUM LIABILITY TO YOU FOR ANY NON-DIRECT TYPE OF DAMAGES SHALL BE LIMITED TO U.S. $200.00 IN THE AGGREGATE.
(d) IN NO EVENT SHALL GetInterns (OR ANY OF ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AFFILIATES, AGENTS OR ADVERTISERS), BE LIABLE FOR ANY DIRECT DAMAGES IN EXCESS IN THE AGGREGATE OF US$200.00 (OR, IF YOU ARE AN EMPLOYER WITH A SERVICES AGREEMENT WITH GetInterns, THE AMOUNTS ACTUALLY PAID BY YOU TO GetInterns UNDER THIS AGREEMENT IF GREATER THAN US$200.00).
(e) Due to the nature of this Agreement, in addition to money damages, you agree that GetInterns will be entitled to equitable relief upon a breach of this agreement by you.
7. Payment of Services upon Termination of Service Agreement. If at any time during the course of this Agreement you should terminate a Service Agreement in which these Terms and Conditions have been incorporated by reference, not to include your termination in the case of breach of this Agreement or the Service Agreement by GetInterns, GetInterns shall reserve the right to receive all payments from you for the Services used by you up to termination and for fifty percent (50%) of the remaining unused portion of the Service Agreement.
8. Links to Other Sites. GetInterns contains links to third party web sites. These links are provided solely as a convenience to you and not as an endorsement by GetInterns of the contents on such third-party web sites. GetInterns is not responsible for the content of linked third-party sites and does not make any representations regarding the content or accuracy of materials on such third-party web sites. If you decide to access linked third-party web sites, you do so at your own risk.
9. Amendments to this Agreement and Changes to Site. GetInterns may revise this Agreement s at any time by updating this page. Changes will be binding on you on the date they are posted on the Site (or as otherwise stated in the any notice of such changes). Any use of the Site will be considered acceptance by you of the then-current Terms and Conditions (including any Exhibits thereto). If at any time you find the Terms and Conditions unacceptable, you may not use the Site any longer. Any new or different terms supplied by you are specifically rejected by GetInterns unless GetInterns agrees to them in a signed writing specifically including those new or different terms. GetInterns may change the Site at any time.
10. Indemnity. You agree to defend, indemnify, and hold harmless GetInterns (and its officers, directors, employees and agents) from and against any third party claims, actions or demands (including, without limitation, costs, damages and reasonable legal and accounting fees) alleging or resulting from or in connection with your use of the Site, any Document posted by you, or your breach of this Agreement. GetInterns shall use reasonable efforts to provide you prompt notice of any such claim, suit, or proceeding and may assist you, at your expense, in defending any such claim, suit or proceeding.
11. User Information. The Privacy Policy posted on the Site is incorporated into this Agreement by this reference. The Privacy Policy governs data collected through GetInterns’s on-line operations only. Please note, as set forth in the Privacy Policy, that GetInterns may collect certain personal information from Users and may contact Users periodically in accordance with the terms of the Privacy Policy. In addition, GetInterns reserves the right to comply, in its sole discretion, with legal requirements, requests from law enforcement agencies or requests from government entities, even to the extent that such compliance may require disclosure of certain information collected from Users.
12. Questions and Notices. . Questions concerning the use of the Site should be directed to Feedback. Notices shall be sent, for GetInterns, to the address listed on the Site, and, for you, to the address submitted by you or such other address as GetInterns reasonably determines is an appropriate address for you.
13. General. GetInterns contact information is listed on the Site. The GetInterns makes no claims that the Content is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries, and such persons have no right to access or use the Site. If you access GetInterns from outside of the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. This Agreement and your Service Agreement, if you have one, are governed by the internal substantive laws of the State of Illinois, without respect to its conflict of laws principles. Jurisdiction for any claims arising under this Agreement or your Service Agreement shall lie exclusively with the state or federal courts in the State of Illinois. The sole relationship between You and GetInterns is that of independent contractors. If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of all or part of a provision shall not affect the validity of the remaining parts and provisions of this Agreement, which shall remain in full force and effect. All provisions of this Agreement shall survive termination except those granting access or use to the Site, and you shall cease all your use and access thereof immediately. You may not assign or transfer your obligations under this Agreement. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term. Except as expressly provided by GetInterns in a particular "Legal Notice," or software license or material on particular Web pages of the Site, this Agreement and your Service Agreement where applicable, constitute the entire agreement between you and GetInterns.
Exhibit A -House Rules regarding Posting, Conduct and Security
GetInterns is the sole interpreter of these rules. Users who violate these rules may have their access and use of the Site suspended or terminated, at GetInterns's discretion. GetInterns reserves the right to change these rules in accordance with the amendment policy in the Terms and Conditions to which this Exhibit A is attached.
A1. Posting Rules:
(a) Your Document may not contain: (i) URLs or links to Web sites (to advertise your company or Web site, see our Advertising Info page.); (ii) copyrighted material (unless you own the copyright or have the owner's permission to post the copyrighted material); (iii) trade secrets (unless you own them or have the owner's permission to post them); (iv) material that infringes on or misappropriates any other intellectual property rights, or violates the privacy or publicity rights of others; (v) keywords or white text keywords (including any words embedded in the Document and hidden from the User); (vi) anything that is discriminatory, sexually explicit, obscene, libelous, defamatory, threatening, harassing, abusive, or hateful; or (vii) anything that is embarrassing or offensive to another person or entity.
(b) You may not use your Document(s) to: (i) impersonate another person, living or dead; (ii) post false, inaccurate or misleading information; (iii) post advertisements or solicitations of business (including, but not limited to, Email Processors, Project 21, franchises, "club memberships," distributorships, or anything requiring a monetary investment by the User, including a request for payment to obtain job listings); (iv) post chain letters or pyramid schemes; or (v) post opinions or notices, commercial or otherwise.
(c) Your Document(s) must contain sufficient detail to convey clearly to the User the nature and requirements of the job opportunity, or your qualifications as a candidate for employment. Documents that encourage the User to "email for more details" are not permitted. Documents from any third party charging a fee or restricting complete access to all resume information are prohibited.
(d) Job postings must be individual openings for traditional, W-2 or 1099 employees.
(e) Resume postings must contain the accurate resume of a living individual seeking employment on a full-time, part-time, or contractual basis on his or her own behalf.
(f) GetInterns is under no obligation to monitor the Documents posted on the Site, but it may monitor Documents at random. Documents found to violate the above Posting Rules may be removed at GetInterns's discretion.
A2. Conduct Rules:
(a) You may not respond to postings by other Users in any manner or for any purpose other than that which is expected (i.e., to apply for the job or to initiate further discussion with the candidate). Communications soliciting the employer's business by our competitors are prohibited.
(b) You may not send unsolicited commercial email to Users.
(c) Protect your password. You are responsible for maintaining the confidentiality of your information and password. You are responsible for all uses of your registration, whether or not authorized by you. If others use your password to post inappropriate material on the Site, you risk losing your access to the Site. You agree to notify GetInterns immediately of any unauthorized use of your registration and password.
(d) Report inappropriate postings or conduct to Feedback.
(e) You may not delete or revise any material posted by any other person or entity.
(f) If at any time during the term of this agreement GetInterns comes to the understanding that you: (i) misled GetInterns of your business practices and/or services, or (ii) purchased services that do not represent your precise business, GetInterns reserves the right to terminate this agreement.
(g) GetInterns is under no obligation to monitor the conduct of its Users, but it may investigate and respond when violations are reported.
A3. Security Rules:
(a) Users are prohibited from violating or attempting to violate the security of the Site, including, without limitation: (i) accessing data not intended for such User or logging into a server or account which the User is not authorized to access; (ii) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (iii) attempting to interfere with service to any User, host or network, including, without limitation, via means of submitting a virus to the Site, overloading, "flooding", "mailbombing" or "crashing"; (iv) sending unsolicited e-mail, including promotions and/or advertising of products or services; (v) forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting. Violations of system or network security may result in civil or criminal liability.
(b) Violation of these Security Rules may result in civil or criminal liability. GetInterns will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations.
